Terms of Service
Last updated 10 October 2026
1. Who we are
Pearl IMS is an institute management system provided by Pearl IMS Technologies Private Limited, a company registered in Pakistan with its principal office at Office 1391 Street 56, F-17/2 F-17, Islamabad, 44790, Pakistan. In these terms, “we”, “us” and “our” mean Pearl IMS Technologies Private Limited; “you” means the person or organisation using this website or the Pearl IMS platform.
2. What these terms cover
These terms govern your use of the website at https://pearlims.tech and, where you do not have a separate signed agreement with us, your use of the Pearl IMS platform.
If your institute has signed a Software Service Agreement with us, that agreement governs the services it covers. Where anything in these terms conflicts with your signed agreement, the signed agreement prevails. These terms then apply only to matters the agreement does not address, and to your use of this website.
3. Using this website
You may browse this website, read its content and submit enquiries through it. You may not use it to break the law, to interfere with its operation or security, to extract its content systematically for a competing service, or to misrepresent your identity or your connection with any institute.
We may change, suspend or withdraw any part of this website at any time. Pages describing features, packages or prices are provided for information and do not form an offer; the terms of any engagement are those set out in a signed agreement or an accepted written quotation.
4. Accounts and access
Access to the Pearl IMS platform is provided to users authorised by a subscribing institute. Accounts are personal to the user they are issued to and must not be shared.
The institute is responsible for deciding who may hold an account, for ensuring those users are trained and authorised, and for withdrawing access promptly when someone leaves or changes role. You must keep your credentials confidential and tell us as soon as you believe an account has been compromised.
Signing in from this website sends your credentials directly to the Pearl IMS application. The website does not receive, process or store them.
5. Your licence to use the platform
For as long as your institute’s subscription is current, we grant that institute a non-exclusive, non-transferable right to use the Pearl IMS platform for its own internal operations. That right does not include reselling access, making the platform available to anyone outside the institute, or copying, decompiling or reverse-engineering the software.
6. Fees
Subscription fees, the billing cycle and any charges for work outside the agreed scope are set out in your signed agreement. In summary, and subject to that agreement: fees are payable in advance; invoices fall due within the period stated on them; package prices may be increased at renewal on written notice; and overdue amounts may attract a late-payment charge.
We may suspend access to the platform where an invoice remains unpaid after we have given written notice and a reasonable opportunity to settle it.
7. Service levels
For institutes with a signed agreement, we commit to the service levels set out in it. Those presently are:
- Availability — 99.5% uptime across the year, excluding scheduled maintenance.
- Response — within 4 business hours for critical issues, 24 hours for non-critical issues.
- Resolution — critical issues within 48 hours; non-critical issues within 5 business days, depending on complexity.
- Scheduled maintenance — carried out off-peak, with at least 48 hours’ notice.
Support is provided by email, telephone and remote access during business hours.
8. What we ask of you
Running the platform well depends on things only the institute can do. You are responsible for:
- giving us accurate information for setup and configuration;
- the accuracy and lawfulness of the data you enter into the platform;
- maintaining adequate internet connectivity and compatible hardware;
- complying with the laws that apply to you, including those governing student and financial records;
- reporting suspected security breaches or unauthorised access to us promptly.
We are not responsible for hardware procurement, installation or repair; for your network or internet connectivity; for third-party software or integrations we did not supply; or for data entry and day-to-day operational tasks.
9. Intellectual property
All intellectual property in the Pearl IMS platform — the software, its design, documentation and trade marks — remains ours. Nothing in these terms transfers any of it to you.
Your data remains yours. Information your institute enters into or stores within the platform belongs to your institute, not to us.
Neither of us may use the other’s name, logo or branding without written consent. Where an institute has agreed to be named as a customer, that consent may be withdrawn in writing at any time and we will remove the reference.
10. Data
How we handle personal data is set out in our Privacy Policy, which forms part of these terms.
In short: data your institute puts into the platform is processed on your institute’s instructions and for the purpose of providing the service. We take reasonable administrative, physical and technical measures to protect it, we keep it confidential, and on termination we return or securely delete it in line with your written instructions and your signed agreement.
11. Availability and warranties
We provide the services with reasonable skill, care and diligence, and we warrant that the platform will substantially conform to its published documentation.
We do not warrant that the services will be uninterrupted, error-free or completely secure. Beyond what is expressly stated here or in your signed agreement, the services are provided “as is”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement.
12. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
Subject to that: our total liability arising out of or in connection with the services will not exceed the total fees paid by your institute in the twelve months preceding the event giving rise to the claim.
Neither party will be liable for indirect, incidental, consequential, special or punitive loss, including loss of profits, revenue, data or business opportunity, even if the possibility of it was known.
We are not liable for interruptions caused by matters outside our reasonable control, including internet service failures, hardware failures at your premises, natural disasters and other force majeure events.
13. Suspension and termination
Either party may end a subscription on 60 days’ written notice. Either party may end it immediately, by written notice, if the other commits a material breach and fails to put it right within 30 days of being told, becomes insolvent or ceases trading, or engages in fraudulent or illegal conduct.
When a subscription ends, use of the platform stops, outstanding fees fall due, and we provide a final export of your data within 15 days. We then return or securely delete your data within 30 days in accordance with your written instructions. The sections on confidentiality, intellectual property, limitation of liability and dispute resolution survive termination.
14. Changes to these terms
We may update these terms as the service changes or the law requires. The date at the top of this page shows when they last changed. Where a change materially affects institutes with a signed agreement, we will give notice in line with that agreement rather than relying on a change to this page.
15. Governing law and disputes
These terms are governed by the laws of Pakistan, and the courts of Islamabad have jurisdiction.
If something goes wrong, tell us first — most problems are quicker to solve directly. Under our standard agreement, the parties attempt to resolve a dispute by good-faith negotiation within 30 days, then by mediation before a mutually agreed mediator, before taking it further.
